These Terms of Use ("Terms") govern your use of genmd.ai, healthcaredatahub.com, mira.healthcaredatahub.com, and any related websites we operate (together, the "Site"). The Site is run by Generative Medical, Inc. ("GenMD," "we," "us"). By using the Site, you agree to these Terms and to our Privacy Policy (genmd.ai/privacy). If you do not agree, do not use the Site.
Separate agreements. These Terms cover the Site only. Any data access, data partnership, or other services we provide are governed by a separate written agreement between GenMD and your organization. If that agreement conflicts with these Terms, the agreement controls.
1. Who may use the Site
You must be at least 18 years old to use the Site. If you use the Site for an organization, you confirm that you are authorized to accept these Terms for it.
2. Not medical advice
The Site is for general information about GenMD and our services. Nothing on the Site is medical, clinical, legal, or regulatory advice, and the Site is not meant to diagnose or treat anyone. Descriptions of datasets, statistics, benchmarks, compliance programs, and model performance are summaries only. They may change and are not guarantees. The terms of any agreement we sign with you are the only commitments we make about our services.
3. Acceptable use
You agree not to:
• use the Site in any way that breaks the law or violates anyone's rights,
• scrape, crawl, or harvest content or data from the Site by automated means, except for standard search engine indexing,
• use Site content to train, fine-tune, or evaluate machine learning or AI models without our written permission,
• try to re-identify any person from information we publish, or reverse engineer any of our materials,
• try to gain unauthorized access to the Site, our systems, or our data, or interfere with how the Site works (for example, by introducing malware or overloading it),
• send health information or other sensitive personal information through our forms, or submit false information, or
• impersonate anyone or misrepresent your affiliation with any person or organization.
4. Intellectual property
The Site and everything on it, including text, graphics, logos, code, designs, and data visualizations, belong to GenMD or our licensors and are protected by intellectual property laws. You may view and print pages for your own informational, non-commercial use. You may not copy, modify, distribute, or create derivative works from the Site without our written permission. "GenMD," "Generative Medical," and our logos are our trademarks.
5. Feedback
If you send us ideas or suggestions, we may use them without restriction or any obligation to you.
6. Third-party links
The Site may link to websites and services we do not control, such as LinkedIn and job boards. We are not responsible for their content or practices, and your use of them is governed by their own terms.
7. Disclaimers
THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT ALLOWED BY LAW, GENMD DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT PROMISE THAT THE SITE WILL BE ACCURATE, COMPLETE, SECURE, UNINTERRUPTED, OR FREE OF ERRORS.
8. Limitation of liability
TO THE FULLEST EXTENT ALLOWED BY LAW, GENMD AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SITE OR THESE TERMS. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THESE LIMITS, SO THEY MAY NOT APPLY TO YOU.
9. Indemnity
You agree to defend, indemnify, and hold harmless GenMD and its officers, employees, and agents from any claims, losses, and expenses, including reasonable attorneys' fees, that arise from your misuse of the Site or your violation of these Terms or the law.
10. Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. Any dispute arising from these Terms or the Site will be resolved only in the state or federal courts in Santa Clara County, California. You and GenMD consent to those courts' jurisdiction. Before filing any claim, you agree to contact us first and try to resolve the issue informally for at least 30 days.
11. Changes and termination
We may update these Terms at any time by posting a new version on this page with a new effective date. If you keep using the Site after an update, you accept the new Terms. We may suspend or end your access to the Site at any time, for any reason.
12. General
If any part of these Terms is found unenforceable, the rest stays in effect. If we do not enforce a provision, we have not waived it. You may not transfer these Terms without our consent. We may transfer them in connection with a merger, acquisition, or sale of assets. These Terms are the entire agreement between you and GenMD about the Site.
